Commercial Counsel

We are looking for an experienced Commercial Lawyer to join our Australian business on a permanent part-time capacity (3 days per week), bringing strategic legal insight and commercial acumen to our fast-paced, high-impact environment.
In your role, you will be the go-to for all matters related to management, negotiation and processes of commercial contracts, ensuring privacy compliance across Australian data protection laws, and an integral legal and business team member to ensure governance, risk and control measures are developed and managed. You’ll play a key role in safeguarding our business, enabling our revenue teams, and driving process improvement. In line with Edenred legal and compliance policies, and local Australian legislative and regulatory requirements, key risk matters to be informed to Head of Legal and Managing Director Australia.
Commercial Contracts
  • Work with our Australian leadership team on all commercial contract matters, and identify areas to continually improve and drive efficiency into the contracting process with internal and external stakeholders.
  • Manage commercial contract negotiations, drafting of contract management and improve commercial processes.
  • Develop and maintain standard contract templates, playbooks and negotiation guidelines in line with Edenred guidelines, in addition to local legislative and regulatory requirements.
  • Negotiate with clients, liaising with the internal sales and accounts teams.
  • Negotiate with suppliers and liaise with the internal business stakeholders to ensure contracts accurately reflect the needs of the business.
  • If required, advise on SaaS subscription agreements, software licensing, service agreements, and technology procurement contracts.
Privacy
  • Maintain local privacy policies and data protection agreements updating where appropriate.
  • Where relevant, ensure privacy compliance is addressed in all commercial contracts.
  • Support our revenue teams in handling privacy-related enquiries ensuring compliance with Australian data protection laws during new business acquisition and renewal negotiations.
  • As required, support incident response activities involving privacy or regulatory matters.
Governance, Risk & Compliance (GRC)
  • Develop and maintain corporate governance frameworks, policies and procedures ensuring alignment with group requirements while meeting local legislative and regulatory requirements.
  • Keep up-to-date with new GRC legislative and regulatory developments and consider the impact on the business to ensure ongoing compliance.
  • Support business leaders to embed risk management practices into decision-making processes.
  • Support (if required) internal or external audit activities and remediation programs.
  • Contribute to the development and/or maintenance of training programs for colleagues, and participate in the delivery of internal training
  • Commercial Lawyer with a minimum of 5-7 years of PQE, ideally with enterprise SaaS or high complexity B2B experience.
  • Proven experience in managing, drafting, reviewing, and negotiating complex commercial contracts, including client and supplier agreements.
  • Strong understanding of Australian contract law and its application in a commercial setting.
  • Strong understanding of Australian privacy laws and data protection regulations, with experience advising on legal risks, drafting policies, and ensuring compliance in commercial agreements.
  • Relevant knowledge and experience in Governance, Risk & Compliance to ensure compliance for our business
  • Skilled in managing contract negotiations, including privacy-related matters, particularly for enterprise client onboarding and renewals.
  • Ability to identify legal risks and develop pragmatic, business-aligned solutions that balance commercial objectives with risk mitigation.
  • A solution-focused negotiator who fosters strong client relationships while protecting Reward Gateway’s interests through win-win agreements.
  • Strong ability to work across leadership, sales, and operational teams, effectively communicating legal concepts to non-legal internal and client stakeholders.
  • Experience with optimising legal processes, including contract management, compliance systems, and template development to drive efficiency.
  • Ability to manage multiple complex projects, ensuring accuracy, attention to detail, and timely execution.
  • Experience in developing and delivering legal training programs to support internal teams on contract management and compliance best practices.
