Role Description

A Company Secretary, Group to provide strategic company secretarial and corporate governance support to the FNZ Group.

Specific Role Responsibilities

Responsibility for providing full company secretarial support to the FNZ Group:

Meeting Support

  • Acting as Company Secretary to the FNZ Group Limited Board and its Committees (including its subsidiaries where appropriate).
  • Liasing and providing guidance to key stakeholders with respect to Corporate Governance and the smooth operation of Group Boards and Committees.
  • Creating and publishing meeting packs on the Group’s Board Management Portal.
  • Arranging meetings of the Board of Directors of various entities within the Group.
  • Preparing and circulating written resolutions for approval by the Board of Directors for the appropriate legal entities.
  • Liasing with the Chair of the Board and Committees with respect to meeting agendas and forward planners.
  • Drafting Board and Committee minutes in a timely fashion.
  • Drafting and monitoring actions for the Board and its Committees.

Subsidiary Management

  • Liaising with key internal and external stakeholders to help ensure the statutory & legal compliance for all FNZ entities within their appropriate jurisdictions.
  • Preparing and/or coordinating the appropriate documentation to appoint or resign directors of the Group entities as required.
  • Preparing and drafting written resolutions and board papers as appropriate.
  • Ensuring that the statutory records of the Legal Entities within the Group are kept up to date and that all required filings are made with the appropriate registries within the relevant jurisdiction.
  • Monitoring and updating where required Group Authorised Signatory Lists, Powers of Attorney’s, Warrant Registers and Group Filing systems (Diligent Entities) as appropriate.

KYC Management

  • Provide oversight of the approach to KYC for all Group entities.
  • Monitor the KYC Playbook to ensure it remains fit for purpose.
  • undefinedGovernance & ComplianceProvide strategic support to the Corporate Secretariat in the ongoing maintenance of a Group Governance Framework and adherence key Shareholder agreements.All other works as requested commensurate with a role within the Corporate Secretariat.

Experience required

Primary requirements

10+ Years Post qualification CS

  • Previous experience as a Company Secretary preferably within a regulated global environment essential.
  • Financial Services experience is desirable.
  • Experience of supporting a global Corporate Secretarial Function essential.
  • Diligent Board Books and Diligent Entities experience is desirable.
  • Ability and ambition to learn new skills and apply them at pace essential.
  • Ability to build and influence relationships with senior stakeholders is essential.
