Core Objective

As our Chief Legal Officer & Head of Compliance, you will be a permanent founding executive, owning OmniSyn SG’s entire global legal, regulatory, and corporate architecture from day one through international commercial scale.

Your initial immediate mission is to steer our proprietary point-of-care financial transaction clearing switch through the Monetary Authority of Singapore (MAS) Sandbox Plus evaluation tunnel to secure our commercial Payment Service Provider (PSP) License. Post-sandbox, your role scales permanently to manage multi-million-dollar corporate financing rounds, regional regulatory expansions into Southeast Asia, global enterprise commercial contracting, and data architecture governance as we build the premier healthcare financial utility for Asia.

Key Responsibilities & Functional Mandates

Phase 1: The Regulatory Launch & POC Phase (Months1–12)

  • MAS Sandbox Leadership: Take absolute ownership of the MAS Sandbox Plus application, handling all written briefs, compliance protocols, and technical queries from our assigned MAS regulatory officer.
  • Ecosystem Contracting: Convert initial conditional Memorandums of Understanding (MOUs) with distribution giants in the market into ironclad, definitive commercial contracts.
  • Data Protection & Privacy Moat: Serve as our designated Data Protection Officer (DPO). Establish strict PDPA-compliant guardrails to ensure our print wrapper's real-time text-parsing engines never leak clinical patient or diagnostic data.
  • Venture Capital Mechanics: Review and coordinate execution of our S$2,850,000 Milestone-Trenched Seed round, managing subscription documentation and the setup of our automated ESOP allocation tables.

Phase 2: Hyper-Scale, Regional Expansion, & Corporate Governance (Post-Sandbox)

  • Cross-Border Regulatory Strategy: Architect our legal entry strategies into regional markets, securing necessary fintech, clearing, and digital payment licenses across ASEAN corridors (such as Malaysia, Indonesia, and Thailand).
  • Enterprise SaaS Commercialization: Draft, negotiate, and execute massive commercial service level agreements (SLAs) with global healthcare providers, corporate brokerages, and insurance carriers as our volume scales.
  • Strategic IP Protection: Protect OmniSyn's foundational intellectual property (the proprietary print wrapper driver, transaction switch rails, and semantic alias vectors) through an international patent and trade secret enforcement framework.
  • Institutional Funding & M&A: Drive the legal engineering for downstream Series A, B, and growth rounds. Direct future corporate structuring, joint ventures, debt facilities, or strategic acquisitions.

Candidate Requirements & Technical Profile

  • Qualifications: Bachelor of Laws (LL.B.) or Master of Laws (LL.M.) from a reputable university. Admitted to the Singapore Bar or qualified to practice law in Singapore.
  • Experience: 6–10 years of post-qualification experience (PQE). A proven track record in a founding legal/compliance role at a scaled fintech, digital payment provider, or within a top-tier technology/healthcare corporate practice group in Singapore.
  • Regulatory Mastery: Expert-level command of the Singapore Payment Services Act (PSA), MAS Technology Risk Management (TRM) Guidelines, and PDPA compliance protocols.
  • The Executive Mindset: Exceptional commercial acumen. You must possess a business-first mindset, engineering legal paths that actively accelerate our revenue models (such as our 25% PEPM/clearing fee ledger splits) rather than just functioning as a risk filter.

Compensation, Equity, & Career Trajectory

This is a founding C-suite position. You are joining to build a multi-billion-dollar financial rail and will be incentivized accordingly:

  • Executive Base Salary: Benchmarked to premium Singapore fintech levels, scaling up dynamically alongside our Tranche 2 (S$2.5M Capital Check) and commercial revenue milestones.
  • Founding-Team Share Options (ESOP): A highly significant equity allocation issued via an option scheme with a standard 1-year cliff and 4-year monthly vesting schedule. Your equity position gives you direct multi-million-dollar upside as our dynamic valuation matrix scales past S$25M and toward a future IPO.
