Swaniti Initiative is a social enterprise that is\nworking at the intersection of climate, governance and last mile delivery. We\nbelieve that while the willingness and resources exist, there are fundamental\ngaps in the execution within communities that is the biggest crisis in the\nclimate movement. Accordingly, Swaniti works with subnational governments to\nconduct microplanning exercises with consultations with community and key\nstakeholders to understand the pathways forward, provide technical assistance\nto subnational governments to provide support in program implementation and\nsupport in monitoring and delivery of programs.<\/span><\/span>

Swaniti has been working across multiple geographies\nin the global south to unlock capital. Our three core metrics include unlocking\npublic capital, ensuring last mile communities are directly benefitted and\ncreating systemic changes in the public service systems. While we are\ncontinuing to focus on impact, it is critical to have a lead who has a deep\nunderstanding about monitoring, evaluation and learning. Our intention is to\ncreate an institutional capability to measure and document the scale of our\nimpact and look at how learning can be replicated across the institution.<\/span><\/span>

Job Description<\/span><\/span><\/b>
<\/p>

We are looking for a\ndetail\-oriented and proactive Legal Associate<\/b> to support the\norganization's legal, corporate, and compliance functions. The ideal candidate\nwill assist in drafting and reviewing legal documents, ensuring regulatory\ncompliance, managing corporate records, and providing legal support on business\nand governance matters.<\/span><\/span>

Key Responsibilities<\/span><\/span><\/b>
<\/p>

  • Draft, review, and negotiate legal\n documents, including contracts, NDAs, MOUs, service agreements, and\n partnership agreements.<\/span><\/span>
    <\/li>
  • Provide legal support on corporate\n governance, compliance, and risk management matters.<\/span><\/span>
    <\/li>
  • Ensure compliance with applicable\n laws and statutory requirements, including company law, labour laws,\n corporate governance, and other regulatory frameworks.<\/span><\/span>
    <\/li>
  • Assist in corporate transactions,\n joint ventures, investments, and other commercial legal matters.<\/span><\/span>
    <\/li>
  • Coordinate with internal teams and\n external legal counsel on legal matters and litigation, where required.<\/span><\/span>
    <\/li>
  • Maintain legal records, statutory\n registers, board resolutions, shareholder agreements, and other corporate\n documentation.<\/span><\/span>
    <\/li>
  • Conduct legal research and monitor\n regulatory developments affecting the organization.<\/span><\/span>
    <\/li>
  • Support company secretarial\n activities, including board meeting documentation, minutes, statutory\n filings, and regulatory submissions.<\/span><\/span>

  • Liaise with government authorities,\n regulatory bodies, and external stakeholders for legal and statutory\n compliance matters.<\/span><\/span>

    Requirements<\/h3>

    Education<\/span><\/span><\/b>
    <\/p>

    • LL.B. (Bachelor of Laws) from a\n recognized university. LL.M. or Company Secretary (CS) qualification will\n be an added advantage.<\/span><\/span>
      <\/li><\/ul>

      Experience<\/span><\/span><\/b>
      <\/p>

      • Minimum 2\u20133 years of experience in\n corporate legal, commercial contracts, compliance, or company secretarial\n functions.<\/span><\/span>
        <\/li>
      • Prior experience working with a CSO,\n NGO, or development sector organization will be an added advantage.<\/span><\/span>
        <\/li>
      • Experience in drafting and reviewing\n legal agreements and handling corporate legal documentation.<\/span><\/span>
        <\/li>
      • Exposure to corporate governance,\n regulatory compliance, and legal advisory will be preferred.<\/span><\/span>

        • Strong knowledge of corporate,\n commercial, and contract laws.<\/span><\/span>
          <\/li>
        • Excellent legal drafting, research,\n and analytical skills.<\/span><\/span>

        • Strong attention to detail and\n problem\-solving abilities.<\/span><\/span>
          <\/li>
        • Good communication and stakeholder management\n skills.<\/span><\/span>
          <\/li>
        • Ability to manage multiple\n assignments while meeting deadlines.<\/span><\/span>

        • Proficiency in MS Office and legal\n documentation.<\/span><\/span>
