The Role:
We operate in a fast moving and internationally regulated industry. We are actively searching for a qualified Legal Counsel to build and lead the legal function across the group. The role is based in Singapore / Kuala Lumpur and reports directly to the Chief Executive Officer. • Liaise with external advisers on all regulatory matters and ongoing compliance.
Corporate & Structuring
• Advise on and maintain the group's corporate structure.
• Manage corporate governance across the group entities.
• Support any M&A and corporate restructuring as the group grows.
Commercial Contracts
• Draft, review, and negotiate B2B licensing and marketing agreements.
• Oversee vendor and third-party service agreements across all entities.
• Lead due diligence process and requirements.
IP & Data Protection
• Manage intellectual property strategy and protection.
• Oversee data protection compliance across jurisdictions.
Risk, Compliance & Litigation
• Establish and maintain group-wide compliance frameworks.
• Manage disputes, litigation, and regulatory investigations, where required.
• Provide HR-adjacent legal support on employment matters, policies, and sensitive personnel matters.
Team & Process Building
• Build out legal processes, templates, and playbooks suited to a multi-entity group.
• Conduct in-house training sessions for internal stakeholders across all business and operational units, where required.
• Manage outside counsel relationships across jurisdictions.
• Keep abreast of relevant legal developments and changes in laws and regulations that may impact the business.
• Support ad-hoc projects as the business and group continues to grow and evolve.
A Great Fit – You Have:
● Law degree from a recognised university.
● Qualified lawyer in Singapore, Malaysia, United Kingdom or other common law jurisdiction with 5 to 8 years of legal experience including law firm or in-house experience.
● Strong knowledge of IP/TMT with experience in regulatory regimes and licensing processes.
● Demonstrated experience in commercial contract drafting and negotiation skills in a technology or gaming context.
● Prior experience in industries such as technology, gaming or digital services and experience with corporate structuring or familiarity with cross-border data protection regimes would be added advantages but not compulsory.
● Comfortable operating with autonomy in a lean, fast-paced, multi-entity Singapore headquartered SME environment.
● Excellent organisational and prioritisation skills.
● A reliable and meticulous self-starter with strong work ethic.
● Strong analytical and problem-solving skills with the ability to be commercially minded, balancing legal constraints with business goals and objectives.
