日本ビジネスの法務責任を担う企業内法務担当

期待される役割：
• 社内各部門の法務パートナーとして、日常法務から重要案件までを協力して推進
• 外部法律事務所を適切に活用しながら、社内判断を主導
• 経営・事業側のスピードとリスク管理の両立を実現

In-house legal counsel responsible for overseeing and managing all legal aspects of the Japan business.

Expectations include:
• Act as a trusted legal partner to all internal functions, proactively supporting a wide range of matters from day-to-day legal issues to strategic initiatives.
• Lead internal decision-making while effectively leveraging external counsel where appropriate.
• Enable the business to achieve both speed and sound risk management through practical and balanced legal guidance.

Responsibilities Include:

1. ビジネス法務・契約

• 販売、購買、代理店、業務委託契約等の推進。日本語書式ひな形の作成

2. 法務としての助言

• 経営・事業部門に対する実践的かつ迅速な法務判断の提供
• 新規ビジネス、サプライチェーン、価格・独禁法関連等のリスク評価
• 社内各部門への横断的サポート

3. コンプライアンス

• 日本におけるコンプライアンスプログラムの実行責任
• 内部コンプライアンス調査の主導／サポート
• トレーニング設計・実施（実務に即した内容）

4. プロジェクト支援

• 組織再編、M&A、設備投資、土地取得などの推進支援

5. 紛争・リスク対応

• 商業紛争、労務問題、クレーム、当局対応の実務リード

6. 外部法律事務所の活用強化

• 案件の難易度に応じた外部の有効活用
• 法律事務所のパフォーマンス管理・コスト管理

7. グローバル連携

• APACおよびグローバル法務との連携
• グローバルポリシーの日本展開

8. 株主総会対応

• なし（合同会社形態のため、株主総会運営等の定常業務は発生せず、事業支援に注力できる環境です）

Commercial & Contracting

• Draft, review, and negotiate a wide range of commercial agreements, including sales, procurement, distributor, and service contracts; develop and maintain contract templates in Japanese.

Legal Advisory

• Provide practical, timely, and business-oriented legal advice to management and business teams.
• Assess legal risks related to new business initiatives, supply chain matters, pricing, and competition/antitrust issues.
• Provide cross-functional legal support across various departments.

Compliance

• Lead and execute compliance programs in Japan.
• Lead or support internal investigations and compliance reviews.
• Design and deliver practical compliance training tailored to business needs.

Project Support

• Support strategic projects such as corporate reorganizations, M&A, capital investments, and real estate transactions.

Disputes & Risk Management

• Lead the handling of commercial disputes, labor matters, claims, and regulatory inquiries.

Management of External Counsel

• Optimize the use of external counsel depending on the complexity and risk of matters.
• Manage external counsel performance and legal spend effectively.

Global Collaboration

• Collaborate closely with APAC and global legal teams.
• Localize and implement global policies within Japan.

Shareholders Meeting

• Not in scope (As a GK, there are no recurring shareholders’ meeting obligations, allowing a strong focus on business partnering)

Qualifications:

The following are required for the role

• 日本弁護士資格
• 5年以上の企業法務経験（事業会社または国際法律事務所）
• 契約交渉を単独でリードした実務経験
• 英語・日本語でのビジネス対応力（会議・交渉含む）
• 幅広い領域をカバーできる柔軟性と実行力
• ビジネス志向（単なるリーガルチェックを超えた価値提供）

#LI-JJ1

• Qualified attorney in Japan (Bengoshi).
• At least 5 years of experience in corporate legal practice at a multinational company and/or international law firm.
• Proven ability to independently lead contract negotiations.
• Business-level proficiency in both Japanese and English (including meetings and negotiations).
• Flexibility and execution capability to cover a broad range of legal matters.
• Strong business mindset with the ability to go beyond traditional legal review and add value.
