Senior Corporate Counsel - Construction
You will provide legal guidance throughout infrastructure and facility projects from development through completion. You will draft, review, and negotiate construction contracts including EPC and design-build agreements, professional services agreements, procurement contracts, master service agreements, and purchase orders. You will advise stakeholders on construction risk allocation, project execution, contract administration, and dispute avoidance strategies. You will support site development, infrastructure expansion, and facility construction projects, manage construction claims, and coordinate with outside counsel and other consultants to minimize risk and protect the organization's interests.
Responsibilities
- Draft, review, negotiate, and manage construction-related agreements, including EPC agreements, design-build contracts, professional services agreements, procurement contracts, master service agreements, and purchase orders.
- Advise internal stakeholders on construction risk allocation, project execution, contract administration, and dispute avoidance strategies.
- Provide legal support for site development, infrastructure expansion, and facility construction projects.
- Manage and resolve construction claims involving delays, schedule impacts, change orders, differing site conditions, payment disputes, defective work allegations, and contract interpretation issues.
- Lead dispute resolution efforts, including negotiations, mediation, arbitration, litigation management, and settlement strategy.
- Coordinate with outside counsel and other consultants on construction-related matters.
- Develop and maintain contract templates, policies, and best practices to improve efficiency and reduce legal risk.
- Partner with project management, procurement, and operations teams to identify and mitigate legal and commercial risks throughout project lifecycles.
- Support due diligence activities related to acquisitions, site development, and strategic growth initiatives.
- Provide practical legal guidance to business leaders on complex construction and commercial matters.
- Assist with other corporate, commercial, and operational legal matters as needed.
Requirements
- Juris Doctor (J.D.) degree from an accredited law school.
- Active license to practice law in at least one U.S. jurisdiction.
- Must have 5+ years of litigation experience focused on commercial construction.
- Significant experience drafting and negotiating construction and commercial agreements.
- Experience handling construction claims, disputes, mediation, arbitration, and litigation management.
- Strong understanding of project delivery methods, including design-build, EPC, and traditional construction contracting structures.
- Ability to communicate complex legal concepts clearly to business stakeholders.
- Strong analytical, negotiation, and problem-solving skills.
- Ability to manage multiple matters simultaneously in a fast-paced environment.
