Senior Legal Counsel, Corporate

You will lead end-to-end M&A transactions, advising on structuring, diligence, negotiation, closing, and integration. You will advise on venture investments across the investment lifecycle and support corporate governance, securities matters, and public company readiness and SEC reporting. You will assist with debt and equity financings, board and stockholder matters, global entity management, and secondary sales. You will manage outside counsel, translate complex legal and regulatory requirements into clear guidance, and identify opportunities to improve and scale transaction processes.

Responsibilities

  • Lead end-to-end execution of M&A transactions, including structuring, diligence, negotiation, closing, and integration
  • Serve as the primary legal partner for venture investments and advise on deal execution and risk
  • Support corporate governance and securities matters and prepare for public company readiness and SEC reporting
  • Assist with debt and equity financings, board and stockholder matters, global entity management, and secondary sales
  • Advise executives and senior leaders on transaction-related risks and tradeoffs
  • Manage and coordinate outside counsel to deliver efficient outcomes
  • Identify opportunities to improve and scale transaction processes and legal frameworks
  • Translate complex legal and regulatory requirements into clear, actionable guidance for cross-functional teams

Requirements

  • 8+ years of legal experience, including significant M&A and general corporate transactional experience
  • Experience across top-tier law firm and in-house roles
  • Exposure to public company readiness and SEC reporting requirements
  • Experience supporting high-growth technology companies
  • Demonstrated ability to independently own and execute complex transactions with minimal oversight
  • Strong judgment and ability to assess risk and make decisions in fast-moving, ambiguous environments
  • Experience leveraging AI tools to improve legal workflows
  • Ability to partner effectively with senior business leaders and cross-functional teams
  • Licensed to practice law in California or eligible for Registered In-House Counsel status
