We are looking for a highly experienced Senior Legal Counsel to strengthen our Legal function at Lucanet. This role sits at the center of a fast-moving, commercially driven SaaS business and will take ownership of core legal topics across the organization, with a particular focus on corporate law, corporate housekeeping, and day-to-day legal support for the business. You will work closely with our Director Legal and act as a trusted legal partner to internal stakeholders across Sales, Product, Finance, People, and other core functions. The role combines expert-level legal ownership with a strong hands-on mindset: you will manage and structure legal matters across our international entity setup, while also supporting commercial and operational legal work where needed. A key focus of the role will be to ensure that Lucanet’s legal entity structure, filings, and governance-related processes are managed in a reliable, pragmatic, and scalable way. In addition, you will support selected strategic topics, including due diligence activities, entity-related legal questions, and collaboration with external counsel across jurisdictions. This is a senior individual contributor role for someone who combines strong subject matter expertise with the ability to work independently, pragmatically, and with a strong sense of ownership in an international environment.
What you'll do
- Take ownership of corporate law and corporate housekeeping topics across Lucanet’s international entity structure.
- Manage and coordinate legal entity requirements, including filings, governance-related documentation, board/shareholder resolutions, and register-related updates.
- Ensure that corporate records, governance processes, and legal documentation are maintained in a structured, compliant, and reliable manner.
- Work closely with external counsel and notaries where required, especially on jurisdiction-specific corporate topics.
- Support the Legal function on commercial legal matters, including the review and coordination of customer contracts, NDAs, and other commercial agreements where needed.
- Provide day-to-day legal support to the business via internal request flows and legal ticket handling.
- Support due diligence and selected transaction-related activities, including preparation of legal documentation and coordination of requests.
- Contribute to the continuous improvement of legal workflows, documentation standards, and overall legal operations.
- Collaborate closely with internal stakeholders across functions and act as a pragmatic, service-oriented legal advisor.
- Balance subject matter depth with operational execution, ensuring that legal topics are handled efficiently and with a business-oriented mindset.
What you bring to the table
- Several years of professional experience in Legal, with a strong focus on corporate law, corporate housekeeping, and legal operations.
- Experience working in an international, multi-entity environment, ideally within a SaaS, technology, or otherwise fast-paced commercial business.
- Strong knowledge of German corporate and contract law and the ability to work confidently in a German legal context.
- Solid understanding of commercial legal principles, especially in relation to contracts and business-facing legal support.
- Experience working with external counsel, notaries, and other legal partners across jurisdictions.
- A highly structured, detail-oriented, and reliable way of working.
- Strong ownership mentality and the ability to manage topics independently from start to finish.
- Hands-on, pragmatic approach with the ability to combine legal accuracy with business practicality.
- Ability to prioritize effectively and work across a broad range of legal topics in a dynamic environment.
- Fluent German and English are required.
Legal qualification / jurisdictional fit
- For Germany: Fully qualified legal background is preferred, ideally with at least one completed German State Exam; two are a plus but not mandatory depending on experience.
Alternatively, candidates with strong and relevant professional legal experience in corporate / commercial law may also be considered. - For the UK: Relevant legal qualification and professional experience in corporate / commercial legal work are required.
Exposure to German legal frameworks and the ability to operate in a German-law-driven business environment are important for success in the role.
