Overview

Senior corporate attorney that leads the legal department’s general corporate team, including legal M&A function. Oversees all legal aspects of ANV’s M&A and investments in support of ANV’s strategic development team and additionally provides support for ANV’s general corporate matters. Reports directly to Chief Legal Officer. Maintains a solid understanding of ANV’s mission, vision, and values.

Responsibilities

  • Managing all legal aspects of the Company’s M&A process, including pre-acquisition, due diligence, document negotiation and integration;
  • Advising the strategic development team on legal risks associated with certain strategies and making recommendations on how to mitigate such legal risks;
  • Drafting and negotiating purchase agreements, joint venture agreements, shareholders and other equity agreements, and other ancillary agreements;
  • Preparing and reviewing letters of intent, term sheets and confidentiality agreements;
  • Working with internal clients (such as corporate development, tax, HR and regulatory teams) to identify issues, develop solutions, structure transactions and complete internal processes to sign and close acquisitions and investments;
  • Coordinating due diligence efforts, including reviewing documents and disclosure schedules;
  • Managing general corporate matters, including providing support to Chief Legal Officer in respect of the Company’s debt and equity matters;
  • Improving form agreements and internal processes; and
  • Providing legal support to other areas of the business as needs arise.
  • Keeps current with market trends and demands.
  • Performs other functionally related duties as assigned.

Qualifications

  • Juris Doctorate from a nationally recognized law school;
  • Previous law firm experience required;
  • 5-10 years of applicable experience with a primary focus on mergers & acquisitions;
  • Proven ability to manage a large volume and variety of transactions and other legal matters;
  • Capacity to work independently and take initiative;
  • Ability to work and think cross-functionally, including with internal corporate development, regulatory, tax, finance and senior management teams;
  • Attention to detail with a commitment to identifying and mitigating risk for the company;
  • Strong interpersonal and oral and written communication skills;
  • Open to periodic travel, both domestically and internationally; and
  • Admitted to practice in New York or Massachusetts and in good standing in all jurisdictions in which you are licensed to practice.

Preferred:

  • Previous in-house experience preferred but not required.

The expected salary range for this role is $240,000.00- $280,000.00
