Corporate Secretary

JOB DESCRIPTION

  • Compliance & Onboarding: Manage end-to-end client onboarding processes, including strict adherence to KYC (Know Your Customer) and CDD (Customer Due Diligence) regulatory frameworks.
  • Corporate Secretarial : Seamlessly handle the full spectrum of corporate secretarial duties, from initial incorporation to striking-off, as well as share transfers and stamp duty processing for Singapore companies.
  • Governance & Documentation: Draft comprehensive directors’ and members’ resolutions for ongoing corporate matters. Ensure meticulous maintenance of statutory registers, minute books, and official administrative records.
  • Regulatory Advisory & Filing: Act as a subject matter expert on the Singapore Companies Act, guiding clients through statutory reporting requirements. Proficiently utilize ACRA BizFile, IRAS, and other government portals for all corporate filings.
  • Stakeholder Management: Serve as a primary liaison between clients, government agencies and auditors.
  • Client Consultation: Provide bilingual consultation (English and Mandarin) to listen to client needs deeply and deliver clear, customer-centric compliance solutions.
  • Any other ad-hoc assignment

REQUIREMENTS

  • Diploma or Degree in Business, Accountancy, or related field.
  • Minimum 6 years of corporate secretarial experience in a Corporate Service Provider environment in Singapore.
  • RQI-qualified (Registered Qualified Individual) for corporate secretarial practice.
  • Strong knowledge of the Singapore Companies Act, ACRA regulations, and corporate governance standards.
