Director, Legal and Business Affairs

You will work at the intersection of law, strategy, and operations, partnering with the General Counsel to handle transactions, SEC filings, and sensitive legal matters. You will draft and review contracts and legal documents, prepare materials for executive and board audiences, and own discrete business and operational projects from start to finish. You will build and maintain internal processes, coordinate across finance, IR, operations, and outside counsel, and track workstreams to ensure nothing falls through the cracks. Bring rigorous legal drafting, sound judgment, and a genuine interest in Bitcoin to solve problems and drive initiatives forward.

Responsibilities

• Support execution of corporate transactions including capital markets activity, M&A, and strategic partnerships
• Draft and review contracts, term sheets, board resolutions, and other legal documents
• Assist with SEC reporting and compliance including proxy statements, periodic filings, and Section 16 matters
• Support corporate governance and prepare board and committee meeting materials
• Own discrete business and operational projects end-to-end
• Build and maintain internal processes as the company scales
• Prepare materials for executive and board-level audiences
• Identify problems early and propose solutions
• Manage workstreams, track open items, and ensure follow-through
• Coordinate across internal teams and outside counsel
• Draft communications, memos, and briefing materials
• Handle sensitive matters with judgment and discretion

Requirements

• 2–5 years of Big Law experience with exposure to corporate, M&A, capital markets, or securities work
• Admitted to practice in at least one US jurisdiction (active bar membership preferred)
• Comfortable operating in a public company environment with understanding of disclosure, timing, and governance
• Startup mentality with ability to move fast and operate in ambiguity
• Strong written and verbal communication skills
• Genuine interest in Bitcoin
