Corporate Counsel
You will act as the day-to-day legal partner, owning commercial contracting end-to-end and advising go-to-market activity. You will draft, negotiate and manage technology and commercial agreements, review product and marketing collateral for legal and regulatory risk, support tokenisation and Web3 projects, build templates and playbooks, and manage external counsel.
Responsibilities
- Draft, negotiate and manage commercial agreements such as SaaS licences, MSAs, partnership and reseller arrangements, NDAs and DPAs
- Represent R3 in discussions and negotiations with the independent Foundation governing the Protocol
- Provide commercial legal advice to sales, business development and marketing to enable deal progression
- Review product, marketing and go-to-market collateral for legal and regulatory risk
- Support strategic projects in tokenisation, DeFi and Web3 and coordinate external counsel when needed
- Build legal infrastructure including templates, playbooks and internal guidance
- Manage and oversee external counsel to ensure focus and cost-effectiveness
Requirements
- Qualified solicitor in England & Wales or equivalent common law jurisdiction with right to practise in the UK
- 5+ years post-qualification experience (PQE) from private practice, in-house, or both
- Solid general commercial law experience with track record drafting technology contracts
- Working knowledge of digital assets, DeFi and Web3 and familiarity with on-chain product structures such as yield vaults, token frameworks and SPV/fund-wrapper arrangements
- Sharp commercial instincts and ability to deliver under pressure
- Proven ability to support fast-moving sales and marketing teams and to prioritise effectively
- Confident operating as the sole lawyer while knowing when to escalate
- Clear communicator able to translate legal complexity into plain guidance
- Desirable: background in traditional financial services or financial market infrastructure
- Desirable: experience advising on token generation events or utility token structures and familiarity with UK, EU or US regulatory frameworks (e.g. UK financial promotions, MiCA, MAS, MAR, AML/CTF)
- Desirable: experience with UK GDPR, IP licensing or open-source software issues
- Desirable: prior in-house experience at a tech, fintech or financial services business
